Acquisition Mandate Overview 1. 3-month Exclusive Mandate a. Exclusive rights to a select number of suburbs/territories based on total prospective volume of sites b. Use of 2x Acquisitions Managers at REFRM + Director - Jesse Lorenz when necessary 2. Engagement Fee a. $20k + GST non-refundable engagement fee/retainer b. The $20k + GST is non-deductible from our acquisition fee 3. Minimum 1 success site acquisition a. If targets are not met, which will be determined within 14 days after the 3-month exclusive period has ended, and due to REFRM not providing the agreed upon services in the agreed upon target area, REFRM will provide an additional 30-60 days exclusive and expand the client’s Exclusive territories b. For the sake of clarity, our Acquisition/Success fees will be payable on any site presented by REFRM to the client that led to dually signed formal sale contracts, even if outside of our exclusive period 4. REFRM to aid in: a. Initial site visits to assess ingress/egress, traffic volume, accessibility, topography, visibility and general viability of site b. Negotiating HOAs and reasonable assistance in preparing and negotiating AFLs c. Acquisition fee of $55 + GST or 2.5% of the total sale price, whichever is greater. fee payable upon execution of formal sale contracts and unconditional sale d. REFRM to provide tenant, planning and design insights to client where necessary e. Realising strategies, including early and long-term exit strategies
